Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a comprehensive legal agreement between you (“user,” “you,” or “your”) and Flipylabs LLC (“we,” “us,” or “our”), owner and licensor of the Sestag software (“Sestag”). By registering for an account, accessing, or otherwise using our web application (“Sestag”), you represent that you have read, understood, and agree to comply with all the provisions set forth herein. If you do not agree with any of these Terms, you must cease using Sestag immediately. These Terms also incorporate by reference any supplementary rules, guidelines, or policies that we may publish on Sestag, including our Privacy Policy. In the event of a conflict between these Terms and any supplementary policies, these Terms shall govern unless otherwise specified.

Your use of Sestag is at your own risk. We reserve the right to modify these Terms or our Application without prior notice. Continued use of Sestag following any changes indicates your acceptance of the revised Terms.

Offerings (Scope of Services)

Sestag delivers a robust platform designed to streamline how businesses, referred to in these Terms as “firms” (which may include, but are not limited to, restaurants, shops, and various service-oriented establishments), manage their products, services, and customer engagements. Our Application provides a set of core functionalities:

• Menu Management: Firms can upload menu data, update listings, and display comprehensive menu offerings (including pricing, descriptions, and item details) for potential customers to browse and explore.
• Event Management: Firms can plan, publicize, and oversee events, allowing users to discover, register interest, or potentially purchase tickets (when available). This feature is aimed at fostering community engagement and expanding the reach of the firm's activities.
• Product Management: Firms have the ability to list, categorize, and maintain an inventory or catalog of products. This section may include images, detailed descriptions, pricing, and any relevant policy information (such as return, warranty, or guarantee terms).
• Order Placement and Tracking: Sestag enables users to place orders for items or services and receive a unique order reference or tracking identifier. Firms may use these identifiers to confirm, process, and keep users updated about their order status.
• Customer Management: Features such as messaging interfaces, notification systems, and promotional functionalities allow firms to connect directly with prospective and existing customers, share updates or offers, and gather feedback or reviews within Sestag.

While we strive to maintain reliable and feature-rich offerings, we reserve the right to modify, suspend, add, or remove any functionalities without prior notification. Your continued use of Sestag after changes are implemented constitutes your acceptance of any adjustments made to our services.

Please note that certain functionalities or sections within Sestag may require additional or different terms, which will be provided to you in those specific contexts. In such instances, the more specific provisions will apply in the event of any inconsistency with these general Terms, unless specified otherwise.

Registration and User Accounts

Access to many of the services offered on our Application requires you to create a user account. When registering, you agree to:

• Provide Accurate Information: You must submit truthful and up-to-date data about yourself or your firm. If your details change, you agree to update them promptly to maintain their accuracy.
• Keep Credentials Confidential: You accept full responsibility for safeguarding your username, password, and other login credentials. Any activity conducted through your account will be deemed to be yours, and you may be held liable for any unauthorized or inappropriate usage.
• Comply with Our Policies: All personal or firm-related data you provide during registration or account maintenance is subject to our Privacy Policy. By registering, you consent to the use, collection, and processing of your information according to that policy.

We reserve the right to refuse, suspend, or terminate accounts at our discretion, particularly if we suspect fraudulent activity, infringements of these Terms, or violations of any law or regulation. If your account is suspended or terminated, you may be prohibited from further use of Sestag or from creating a new account without our explicit permission.

Business Name Registration

Firms using Sestag may register names, trademarks, or brand identifiers to represent their businesses. You understand and agree to the following:

• No Infringement: You must not register or use any name, trademark, or identifier that infringes upon the intellectual property rights of others, including, but not limited to, duplicating established brand names, mimicking well-known entities, or employing misleading or confusing nomenclature.
• Authenticity Requirements: We may request verifiable documentation (e.g., certificates, business licenses, or trademark registrations) to ensure that the name you register is lawfully yours or that you have the right to use it. Non-compliance with documentation requests can result in the revocation of your registered name or the suspension of your account.
• Dispute Resolution: Disputes about business names, trademarks, or other proprietary designations should be directed to our support team. We will work diligently, under our internal guidelines, to resolve or mediate such issues. Ultimately, we may remove, modify, or reassign disputed names at our discretion if necessary to ensure compliance with law or our internal policies.

Failure to abide by this section may subject you to account restrictions, name reassignments, or further legal recourse. We make no representations or warranties that your chosen business name does not infringe on third-party rights, and we will not be liable for any claims arising therefrom.

Username Assignment Policy

When you sign up, you choose a username, or one may be automatically generated for you. We value consistency and clarity within Sestag, and we aim to minimize confusion among users, customers, and firms. Thus, we reserve the right to reassign or remove usernames if:

• Brand Confusion: A recognized franchise or official entity requires the username to maintain a consistent public presence, and your selected username creates potential confusion or unfair association.
• Misleading Use: The username implies affiliation with a well-known group, individual, or trademark holder, potentially misleading other users or violating intellectual property rights.
• General Misuse: The username is offensive, harassing, defamatory, obscene, or otherwise violates applicable law or our internal guidelines.

Affected users will be notified of pending actions regarding their usernames and may be offered an alternative username. These measures ensure brand protection, fair representation, and the prevention of disputes or user confusion. By registering or using a username, you acknowledge these potential reassignments.

Disclaimer on User or Firm-Generated Content

Our Application offers features that allow both end users and firms to publish, upload, or otherwise disseminate content (“User-Generated Content”). Such materials may include text, images, promotional materials, product descriptions, or event listings. While we facilitate the sharing of such content, we do not actively monitor or endorse it, and we are not accountable for any damages, losses, or liabilities resulting from its availability or accuracy. By posting any User-Generated Content, you understand and agree that:

• Ownership and Rights: You represent and warrant that you hold all necessary rights (including intellectual property rights) to the content you post, or that you have obtained permission from relevant third parties.
• No Pre-Screening Obligations: Although we reserve the right to remove or alter any content that violates these Terms or applicable law, we do not commit to pre-screen or verify any content uploaded by users or firms.
• Licensing to Us: By submitting content, you grant Flipylabs a royalty-free, non-exclusive, perpetual, irrevocable, transferable, worldwide license to use, reproduce, modify, display, publish, and distribute such content in association with operating and promoting Sestag.
• Inappropriate Material: You must refrain from posting content that is illegal, fraudulent, defamatory, obscene, harmful, or otherwise objectionable. We reserve the right, at our discretion, to remove or disable access to any content deemed to violate these Terms or the law.

If you encounter content that is offensive, misleading, or otherwise in breach of these Terms, you are encouraged to report it to our support team. We will make every effort to investigate such reports and take appropriate action in accordance with our policies and procedures.

Data Exchanges Between Users and Firms

Sestag may enable direct exchanges of information between users and firms, including personal, business, or financial data. These interactions may involve reservation details, inquiries, order specifications, or other sensitive information. You acknowledge that:

• Third-Party Responsibility: Firms are solely responsible for how they collect, handle, and process any user-supplied data. Likewise, users are responsible for verifying a firm's trustworthiness and data-handling standards before sharing personal details.
• Limitations of Our Role: We function solely as a platform provider and do not facilitate, review, or verify the nature of these data exchanges. We assume no liability for issues arising from data misuse, unauthorized disclosures, or any subsequent breach by a firm or user.
• Compliance with Law: All parties are obligated to handle and transfer data in accordance with local, national, and international data protection requirements, including (where applicable) the General Data Protection Regulation (GDPR) or similar legislation.

We strongly encourage users to exercise caution and due diligence when divulging personal information, and to familiarize themselves with the receiving party's privacy practices and policies.

Third-Party Content, Events, and Services

Our platform may display or host links to third-party websites, offerings, or events (“Third-Party Content”). These are provided as a convenience and do not signify our endorsement or guarantee of accuracy, reliability, or quality. You agree and acknowledge the following:

• No Control or Liability: Flipylabs does not control third-party websites or services, nor are we responsible for their content, business practices, or data-handling procedures. Any interactions or transactions with such third parties are conducted solely between you and the relevant third party.
• Third-Party Events: Firms may advertise or host events via our Application; however, we are not involved in the planning, hosting, or management of these events, nor do we assume any liability for attendee safety, event content, scheduling, or refunds in the case of cancellations.
• Risk Assumption: Accessing, using, or relying on any Third-Party Content is done at your own risk. You are encouraged to thoroughly review the terms, conditions, and privacy policies of any third-party website or service before proceeding.

Should you encounter issues with third-party interactions, your sole remedy rests with the external provider or organizer, and you release Flipylabs from all related claims or damages.

Order and Payment

Through our Application, firms may showcase items or services for sale, and users may place orders or reservations. The conditions, pricing, and availability of these items or services are determined solely by the respective firms. By choosing to transact through Sestag, you acknowledge that:

• Pricing and Availability: While firms are expected to maintain accurate pricing and product details, inadvertent errors or misrepresentations may occur. If a discrepancy is discovered, the firm (or we, on their behalf) may contact you to address the inaccuracy, which could result in an amended order, price adjustment, or cancellation.
• Payment Processing: Your payment details may be collected by a third-party processor or the firm itself, over which Flipylabs has limited or no control. We disclaim any liability related to disputes or chargebacks arising from these transactions.
• Order Confirmation: You may receive a unique reference, code, or notification to confirm your order. However, receipt of such a confirmation does not guarantee that the firm will fulfill the order as advertised, nor does it constitute our endorsement of the transaction.

Any arrangement, contract, or purchase you make is between you and the firm. Our role is strictly to provide a venue for transactions. Disputes concerning orders, refunds, or other financial matters must be resolved directly between you and the firm, subject to applicable consumer protection laws.

Use of Sestag

You agree that your use of Sestag will comply with these Terms and all relevant laws and regulations. Specifically, you shall not:

• Engage in Fraudulent Activities: This includes repeated placement of fictitious or non-genuine orders, using false billing details, or impersonating others.
• Disrupt Sestag: You must not introduce viruses, worms, malware, or employ any other actions intended to compromise the security, integrity, or performance of our systems or users.
• Violate Others' Rights: You must refrain from infringing on any third party's intellectual property, privacy, or other proprietary rights when accessing or posting content within Sestag.
• Harass or Abuse: You must not engage in conduct that is threatening, hateful, or harassing toward other users, firms, or our personnel.

We reserve the right to investigate and take appropriate legal action against anyone who, at our sole discretion, violates these Terms. This may include terminating their account, reporting them to law enforcement, or pursuing legal remedies to address the misconduct.

Intellectual Property

Except for user-generated content that remains the property of its uploader, all other content within Sestag—including, but not limited to, text, images, logos, software, layout, and interface design—are the exclusive property of Flipylabs or its licensors and are protected by applicable intellectual property laws. You may not reproduce, display, publicly perform, distribute, or otherwise exploit any part of our copyrighted or trademarked assets without express written permission from Flipylabs. Unauthorized use, modification, or creation of derivative works based on Sestag or its elements is strictly prohibited unless otherwise permitted by law.

Premium Subscription and Pricing

We may offer optional premium subscriptions or upgrades that enhance or extend the capabilities of the Application. By opting into such services, you agree to:

• Payment of Fees: Pay all applicable fees and taxes at the rate and frequency stated at the time of your subscription purchase or renewal.
• Recurring Billing Authorization: Some premium services require recurring payments. You grant us (or our designated payment processor) permission to automatically charge your chosen payment method on the designated billing cycle until you cancel or modify your subscription.
• Price Modifications: We reserve the right to modify the cost, duration, or features of any premium subscription. We will endeavor to provide notification of significant changes. Continuing your subscription after the change indicates acceptance of the new terms.

Any applicable cancellation policies, refunds, or other billing adjustments will be described within the premium service details. In the absence of such specific terms, standard legal consumer protections and these Terms apply.

Modifications to Service and Prices

Flipylabs is committed to continuously updating and improving our Application, which may necessitate occasional adjustments or interruptions to offered services, functionalities, or pricing. We reserve the right, at our sole discretion, to modify, suspend, discontinue, or change any portion of Sestag or related service without prior notice. You agree that we shall not be liable to you or any third party for:

• Any direct or indirect damages related to downtime, feature removal, or pricing modifications.
• Terminating or discontinuing certain services or premium features that you may have previously utilized.
• Delays in service or access to certain functionalities resulting from technical maintenance, updates, or unforeseen system failures.

Limitation of Liability

To the greatest extent permitted under applicable law, Flipylabs and its affiliates, officers, employees, agents, or licensors shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including, but not limited to, loss of profits, lost data, or goodwill, arising from or related to your access to or use of Sestag, whether based on warranty, contract, tort, or any other legal theory. Some jurisdictions do not allow the limitation of certain damages; thus, this limitation may not apply fully to you. Notwithstanding anything to the contrary contained herein, our liability to you for any cause of action whatsoever, and regardless of the form of the action, will always be limited to the amount paid by you, if any, for using Sestag during the six (6) months preceding the event giving rise to the claim.

No Warranty

Sestag is provided on an "as is" and "as available" basis without any warranties of any kind, whether express, implied, or statutory. Flipylabs disclaims all warranties, including, without limitation, warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, accuracy, and any warranties arising from a course of dealing or usage in trade. We do not guarantee that:

• Sestag will be uninterrupted, secure, or error-free at all times.
• Defects or errors will be promptly rectified.
• User-generated content or third-party content accessed through Sestag is up to date, reliable, or accurate.
• Any particular outcome or result will be achieved from your use of Sestag.

Indemnification

You agree to defend, indemnify, and hold harmless Flipylabs, its affiliates, and each of their respective officers, directors, employees, agents, successors, and assigns from and against any and all liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your violation of these Terms or any law, rule, or regulation in connection with your use of the Application.
• Your breach of any intellectual property, privacy, or other rights of any individual or entity, including through any content or data you upload or distribute.
• Your business transactions, communications, or disputes with firms, other users, or external third parties within or outside Sestag.
• Your willful misconduct or negligence in using Sestag or interacting with other users, firms, or our staff.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

Changes to Terms

We may revise or replace these Terms at any time, and it is your responsibility to review them periodically. Any modifications or substantial updates will be posted directly on Sestag with an updated “Last Updated” date. Where material changes occur, we may attempt to notify you in advance (e.g., via email or prominent notice on Sestag). By continuing to access or use Sestag after such modifications become effective, you agree to be bound by the revised Terms. If you do not consent to the updated Terms, you must discontinue use of Sestag.

Termination

We reserve the right to suspend or permanently terminate your access to Sestag or deactivate your account at any time and for any reason, including but not limited to your actual or suspected breach of these Terms, illegal activities, or disruptive behavior. Upon termination, you must cease all use of Sestag, and any provisions of these Terms that, by their nature, should survive termination will remain in effect (e.g., Indemnification, Intellectual Property, and Limitation of Liability).

Governing Law

These Terms and any disputes arising out of or relating to them, or Sestag, are governed by and construed in accordance with the laws of the jurisdiction in which Sestag is organized or based, without regard to its conflict-of-law provisions. You irrevocably submit to the jurisdiction of the courts located in that jurisdiction for the purpose of resolving any legal disputes. If any part of these Terms is found invalid or unenforceable by a court, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, along with any other policies or legal notices expressly incorporated by reference, constitute the entire and exclusive agreement between you and Flipylabs concerning your use of Sestag and supersede all prior or contemporaneous understandings or agreements, whether written or oral. No amendment or waiver of any portion of these Terms shall be binding unless executed in writing by an authorized representative of Flipylabs.
